    These Terms and Conditions (“Terms”) govern your access to and use of BailBoss.ai, including its websites, software-enabled services, business systems, websites and digital services, communications tools, forms, artificial intelligence features, voice and messaging services, implementation services, support services, and any other products or services made available by or on behalf of Kapa Tec, LLC under the BailBoss.ai brand (collectively, the “Services”).

    BailBoss.ai is a business offering operated by Kapa Tec, LLC. In these Terms, “BailBoss.ai,” “Company,” “we,” “us,” and “our” refer to Kapa Tec, LLC and, where applicable, its affiliates and service providers.

    “Company Parties” means Kapa Tec, LLC and its current and former members, owners, managers, officers, directors, employees, contractors, agents, affiliates, licensors, service providers, vendors, successors, assigns, and business partners.

    By accessing or using the Services, creating an account, completing an Access Review, purchasing Services, signing or accepting an Order, using a BailBoss.ai-powered communication channel or demonstration, or otherwise indicating acceptance of these Terms, you agree to these Terms.

    If you do not agree, do not use the Services.

    If you accept these Terms on behalf of a bail agency, company, general agency, or other organization, you represent that you have authority to bind that organization. “You” and “Customer” then include that organization.

    1. Business and Commercial Use Only

    BailBoss.ai is designed primarily for bail bond professionals, licensed bail agents or bondsmen, bail bond agencies, general agents, agency owners, authorized business staff, and other approved commercial users.

    The Services are offered for business and commercial purposes, not primarily for personal, family, or household use.

    You must be at least 18 years old and legally capable of entering into a binding agreement.

    If your activities require a bail license, insurance appointment, surety authority, business registration, professional credential, or other governmental or regulatory authorization, you are solely responsible for obtaining and maintaining it.

    BailBoss.ai does not grant, verify, replace, or guarantee any professional license, surety appointment, insurance authorization, governmental approval, or other professional authority.

    2. BailBoss.ai Is Not a Bail Bond Provider or Professional Adviser

    BailBoss.ai provides business infrastructure, technology, communication systems, websites, digital tools, AI-assisted tools, implementation, marketing-related services, and related business services.

    Unless expressly stated otherwise in a written agreement, BailBoss.ai does not:

    • post bail bonds;
    • act as a surety;
    • make underwriting decisions;
    • approve or reject defendants;
    • approve or reject co-signers or indemnitors;
    • determine collateral requirements;
    • determine bail premiums or legally permissible charges;
    • determine eligibility for release;
    • provide legal representation;
    • provide legal advice; or
    • exercise professional authority legally reserved to a licensed bail professional, surety, attorney, court, governmental agency, or other authorized person.

    Professional bail decisions remain the responsibility of the Customer and the appropriately licensed professional.

    3. Customer Responsibility for Bail-Industry Compliance

    Bail laws, insurance requirements, surety requirements, licensing rules, advertising rules, premium regulations, collateral requirements, payment-plan rules, record-retention obligations, defendant requirements, and professional obligations vary by jurisdiction.

    You are solely responsible for determining and complying with all laws, regulations, licensing requirements, surety agreements, carrier requirements, court requirements, professional standards, and contractual obligations applicable to your bail business.

    BailBoss.ai does not guarantee that a particular configuration, workflow, form, document, payment process, communication, advertisement, reminder, or business practice satisfies the requirements of your jurisdiction.

    Technology provided through BailBoss.ai does not transfer professional or regulatory responsibility from the Customer to BailBoss.ai.

    4. Access Review and Customer Acceptance

    BailBoss.ai uses a selective-access model.

    Completing an Access Review does not guarantee acceptance as a Customer, access to Services, a particular implementation, pricing, availability, or any business relationship.

    BailBoss.ai may determine whether and how Services are offered based on operational fit, technical requirements, compliance considerations, service availability, risk, business needs, and other relevant considerations.

    5. Orders and Additional Agreements

    Specific Services may be governed by an order form, proposal, subscription agreement, service agreement, statement of work, implementation agreement, data-processing agreement, or other written agreement (each an “Order”).

    An Order may specify:

    • services;
    • implementation scope;
    • pricing;
    • usage allowances;
    • subscription periods;
    • billing frequency;
    • support;
    • deliverables; and
    • other commercial terms.

    If an executed Order expressly conflicts with these Terms, the executed Order controls only with respect to that specific conflict.

    These Terms continue to apply to matters not addressed in the Order.

    6. Accounts, Credentials and Security

    You are responsible for maintaining the confidentiality and security of usernames, passwords, authentication methods, administrator access, and other account credentials.

    You are responsible for activity conducted through accounts assigned to you or users you authorize, except to the extent directly caused by unauthorized conduct of BailBoss.ai.

    You must promptly notify BailBoss.ai if you reasonably believe an account or credential has been compromised.

    You may not share credentials or access in a manner intended to circumvent account limits, permissions, security controls, approved users, licensing restrictions, or billing requirements.

    7. Authorized Users

    You are responsible for individuals you authorize to use the Services, including employees, bail agents, independent contractors, office personnel, managers, administrators, and other users.

    You are responsible for:

    • assigning appropriate permissions;
    • supervising authorized users;
    • maintaining appropriate access controls; and
    • removing access when a user should no longer have it.

    BailBoss.ai is not responsible for an authorized user’s misuse of information, records, communications, credentials, permissions, or Services.

    8. Fees, Subscriptions, Usage and Billing

    Fees may include subscription fees, setup fees, implementation fees, consulting fees, website fees, custom-development fees, usage charges, telecommunications charges, AI usage, SMS usage, voice usage, email usage, phone-number charges, registration charges, domain fees, third-party services, payment-processing charges, taxes, or other amounts stated in an applicable Order.

    Some Services depend on third-party usage costs.

    Usage-based rates may change when telecommunications providers, AI providers, carriers, registrars, payment processors, hosting providers, or other vendors change their pricing.

    Unless an applicable Order expressly states otherwise, fees are due when charged and are non-refundable to the fullest extent permitted by law.

    Subscriptions may renew automatically for successive billing periods unless canceled according to the applicable subscription or Order.

    Cancellation generally prevents future renewal and does not create a right to reimbursement of fees already paid or incurred unless required by law or expressly agreed in writing.

    You authorize BailBoss.ai and its payment providers to charge authorized payment methods for amounts properly due.

    You are responsible for applicable sales, use, communications, excise, and similar taxes, excluding taxes imposed on the Company’s net income.

    9. Third-Party Services

    BailBoss.ai may use, integrate with, or depend upon third-party telecommunications carriers, payment processors, AI providers, email providers, hosting services, domain registrars, social networks, analytics services, electronic-signature services, search platforms, business directories, cloud providers, APIs, and other services.

    Third-party services may have separate:

    • terms;
    • fees;
    • availability;
    • restrictions;
    • account requirements;
    • verification processes;
    • acceptable-use policies;
    • approvals; and
    • technical limitations.

    BailBoss.ai does not control third parties.

    The Company Parties are not responsible for third-party outages, rate increases, filtering, rejected registrations, spam classification, service suspensions, account restrictions, API changes, policy enforcement, search-algorithm changes, social-platform changes, payment holds, delivery failures, carrier enforcement, or other actions or omissions of third parties.

    10. Artificial Intelligence

    BailBoss.ai may provide artificial intelligence features involving voice, chat, messaging, drafting, content, intake, transcription, summarization, analysis, responses, or other functions.

    Artificial intelligence can make mistakes.

    AI-generated or AI-assisted output may be incomplete, inaccurate, outdated, misleading, or inappropriate for a particular circumstance.

    You must exercise independent judgment and review AI output before relying on it for professional, legal, regulatory, financial, underwriting, collateral, contractual, safety-related, or other material decisions.

    AI features are tools that assist the business. They do not replace professional judgment.

    You may not configure or use AI features to:

    • falsely represent professional licensing;
    • provide unauthorized legal advice;
    • impersonate government officials;
    • make unlawful discriminatory decisions;
    • perform activities you are not legally authorized to perform; or
    • violate applicable law or third-party rights.

    11. AI Call Answering and AI Chat & Messages

    Where configured, AI assistants may:

    • answer calls;
    • respond to written messages;
    • gather approved information;
    • ask configured questions;
    • answer approved routine questions;
    • provide business information;
    • route information;
    • recommend a configured next step; or
    • hand a conversation to a human.

    The Customer is responsible for determining the approved information, instructions, knowledge sources, scripts, escalation rules, policies, and human handoff procedures used by its AI implementation.

    BailBoss.ai does not guarantee that every AI interaction will be error-free or that AI will correctly understand every caller, accent, request, message, fact, or circumstance.

    AI assistants do not independently make professional bail decisions unless expressly authorized by law and specifically agreed in writing, and BailBoss.ai does not represent that its standard AI Services perform such professional functions.

    12. AI Demonstrations and Role-Play

    BailBoss.ai may offer AI chat or voice demonstrations in which the AI simulates or role-plays communications that could occur between a bail bond agency and a prospective customer.

    These demonstrations are provided solely to demonstrate technology and possible communication experiences.

    A simulated AI conversation:

    • is not an actual bail bond service;
    • is not an offer to post a bond;
    • is not a binding quote;
    • is not an underwriting decision;
    • is not legal advice;
    • is not a guarantee of how a Customer’s final implementation will operate; and
    • should not be relied upon as professional bail guidance.

    Any real-world AI implementation must be configured for the particular Customer and its approved business practices.

    13. Call Recording, Monitoring, Transcription and Consent

    Certain Services may permit calls, voice interactions, messages, or other communications to be recorded, monitored, analyzed, summarized, or transcribed.

    Federal and state laws concerning recording, monitoring, artificial voices, prerecorded communications, consent, notice, privacy, and related activities vary by jurisdiction.

    Customers are solely responsible for determining and obtaining all disclosures, notices, and consents legally required for their use of these features.

    Customers are responsible for configuring their communications practices in accordance with applicable law.

    The availability of a recording or transcription feature does not constitute legal advice that recording or transcription is permissible in a particular jurisdiction.

    Where BailBoss.ai directly records or transcribes its own communication with an individual, BailBoss.ai may provide disclosures through the applicable channel where required.

    These Terms do not replace any separate disclosure or consent required during an actual call or communication.

    14. Text Messaging and SMS Terms

    BailBoss.ai may send service-related, transactional, informational, and marketing text messages where legally permitted.

    Service and Transactional Messages

    When you voluntarily provide BailBoss.ai with a mobile telephone number in connection with an Access Review, account, requested service, appointment, support request, purchase, implementation, or other business interaction, you request and consent to receive communications reasonably related to that interaction to the extent permitted by law.

    Service-related messages may concern:

    • your Access Review;
    • requested information;
    • appointments;
    • account activity;
    • implementation;
    • service configuration;
    • support;
    • security;
    • billing;
    • service status; or
    • other communications relating to an existing or requested business relationship.

    Message frequency varies.

    Message and data rates may apply.

    Marketing and Promotional SMS

    Marketing and promotional SMS consent will be obtained separately where required.

    If you expressly opt in to marketing text messages, you authorize BailBoss.ai to send marketing or promotional text messages to the telephone number you provide, including messages sent using automated technology where legally permitted.

    Consent to receive marketing text messages is not a condition of purchasing, receiving, or using BailBoss.ai Services.

    Message frequency varies.

    Message and data rates may apply.

    Opting Out of SMS

    You may revoke consent to receive text messages at any time using a reasonable method that clearly communicates your request.

    You may reply:

    STOP QUIT END CANCEL UNSUBSCRIBE REVOKE or OPT OUT

    where reply messaging is supported.

    You may also communicate a clear opt-out request through another reasonable method, including the BailBoss.ai Contact page.

    BailBoss.ai will honor valid revocation and opt-out requests as required by applicable law.

    BailBoss.ai may send a single non-promotional message confirming that an opt-out request was received or clarifying its scope where legally permitted.

    An opt-out directed specifically to marketing communications will stop marketing text messages. Service, security, transactional, or relationship communications may continue where they are separately authorized or otherwise permitted by law.

    If a revocation reasonably indicates that you intend to stop all applicable automated text communications to that number, BailBoss.ai will honor the scope required by applicable law.

    SMS Help

    Where supported, reply HELP for assistance.

    You may also contact BailBoss.ai at:

    https://bailboss.ai/contact

    Telephone Number Authorization

    By providing a telephone number, you represent that you are the subscriber, customary user, or are otherwise authorized to provide consent for communications to that number.

    You agree to notify BailBoss.ai if the telephone number is reassigned, disconnected, or is no longer under your control.

    Delivery

    BailBoss.ai does not guarantee delivery of text messages.

    Messages may be delayed, blocked, rejected, filtered, or otherwise affected by wireless carriers, telecommunications providers, devices, network conditions, spam-prevention systems, or third-party services.

    Wireless carriers are not liable for delayed or undelivered messages.

    15. Customer Use of SMS, Telephone and AI Voice Services

    If you use BailBoss.ai to contact your own leads, customers, defendants, co-signers, indemnitors, payers, applicants, former customers, or other individuals, you are responsible for the legality of those communications.

    You are responsible for:

    • obtaining legally sufficient consent;
    • maintaining evidence of consent where required;
    • providing required disclosures;
    • honoring opt-outs and revocations;
    • maintaining suppression records where required;
    • complying with applicable do-not-call requirements;
    • complying with applicable calling-hour or quiet-hour restrictions;
    • complying with federal and state telemarketing requirements;
    • complying with artificial-voice and prerecorded-voice requirements;
    • complying with call-recording and privacy laws;
    • complying with carrier requirements; and
    • otherwise complying with laws governing the communications you initiate.

    Marketing consent must not be obtained through deceptive or misleading practices.

    You may not use BailBoss.ai to contact purchased, rented, scraped, harvested, unlawfully obtained, or otherwise unauthorized lists in violation of applicable law or carrier policy.

    16. A2P 10DLC and Carrier Registration

    Business text messaging may require brand registration, campaign registration, number registration, identity verification, sample messages, proof of opt-in, disclosures, or other carrier or industry requirements.

    Where BailBoss.ai assists with A2P 10DLC or similar registration, the Customer must provide accurate and complete information.

    Approval is controlled by telecommunications carriers, registries, and other third parties.

    BailBoss.ai does not guarantee registration approval, message delivery, throughput, deliverability, carrier acceptance, or continued campaign availability.

    Carriers or registration providers may reject, suspend, restrict, or terminate campaigns or numbers.

    17. Email Communications

    BailBoss.ai may send transactional, relationship, service-related, and marketing email where legally permitted.

    Marketing email recipients may unsubscribe using the unsubscribe mechanism provided in the communication.

    Service, security, account, billing, transactional, or other non-marketing communications may continue where necessary or legally permitted.

    Customers that use BailBoss.ai to send commercial email are responsible for compliance with applicable email-marketing laws, including required sender information and opt-out procedures.

    18. Applications, Documents and Electronic Signatures

    BailBoss.ai may provide tools to collect information, distribute applications, prepare or distribute documents, obtain acknowledgments, and request electronic signatures.

    BailBoss.ai does not provide legal advice regarding the sufficiency, enforceability, wording, legality, or suitability of any application, contract, indemnity agreement, collateral agreement, disclosure, payment agreement, or other document.

    Customers are responsible for determining which:

    • documents;
    • signatures;
    • disclosures;
    • witnesses;
    • notarizations;
    • acknowledgments;
    • retention practices; and
    • other formalities

    are required for their business and jurisdiction. The availability of an electronic-signature feature does not mean every document is legally eligible for electronic execution in every jurisdiction or circumstance.

    19. Payments and Collections

    BailBoss.ai may provide or connect tools for invoices, payment links, recurring payments, payment-plan tracking, payment reminders, balances, or other payment-related activity.

    Payment processing may be performed by third-party processors.

    BailBoss.ai is not a bank, lender, escrow company, debt-collection agency, credit-reporting agency, or guarantor of payment.

    BailBoss.ai does not guarantee that a defendant, co-signer, indemnitor, payer, or other person will make any payment.

    Customers remain responsible for:

    • payment arrangements;
    • legally required disclosures;
    • refunds;
    • chargebacks;
    • collection decisions;
    • financial records;
    • premium compliance;
    • payment-plan compliance; and
    • all related legal obligations.

    20. Court Dates, Defendant Check-Ins and Reminders

    BailBoss.ai may provide organizational tools for known court dates, defendant check-ins, reminders, and follow-up.

    Unless expressly stated in an applicable Order, BailBoss.ai does not independently monitor courts or governmental systems and does not guarantee detection of:

    • new court dates;
    • schedule changes;
    • failures to appear;
    • warrants;
    • forfeitures;
    • forfeiture deadlines;
    • case changes; or
    • other legal events.

    Customers are responsible for independently verifying legally significant court, case, bond, and deadline information.

    A reminder generated from information available to a system is not a substitute for independent verification of court information.

    21. Websites, Online Visibility, Search and Marketing

    BailBoss.ai may provide websites, online-visibility services, content, business-profile assistance, reputation tools, social-media tools, search-related services, or other marketing support.

    Search engines, social networks, review platforms, directories, advertising systems, and other third parties control their own algorithms, policies, rankings, verification processes, and results.

    BailBoss.ai does not guarantee:

    • search rankings;
    • impressions;
    • website traffic;
    • leads;
    • phone calls;
    • bail bonds;
    • revenue;
    • review scores;
    • social-media reach;
    • followers;
    • engagement; or
    • other marketing outcomes.

    22. Social Media and Connected Accounts

    Social-media functionality may require the Customer to connect third-party accounts and authorize permissions.

    Features vary by platform and may change without notice.

    BailBoss.ai does not control social-network availability, APIs, posting limits, content moderation, account suspension, authentication, or platform policies.

    Customers remain responsible for reviewing public content and ensuring it complies with applicable laws, licensing requirements, advertising rules, confidentiality obligations, and third-party platform policies.

    23. Customer Content and Data

    You retain your rights in data, records, documents, messages, images, branding, prompts, files, and other materials that you lawfully provide through the Services (“Customer Content”).

    You grant BailBoss.ai and its authorized service providers a non-exclusive, worldwide, limited right to host, transmit, copy, process, display, modify as technically necessary, and otherwise use Customer Content as reasonably necessary to:

    • provide the Services;
    • maintain the Services;
    • secure the Services;
    • troubleshoot issues;
    • provide support;
    • perform requested processing; and
    • comply with law.

    You represent that you possess all rights, permissions, notices, and consents necessary to provide Customer Content and authorize its processing.

    You are responsible for the accuracy, legality, and appropriateness of Customer Content.

    BailBoss.ai may use aggregated or de-identified information for operational, security, analytical, and service-improvement purposes where that information does not reasonably identify the Customer or an individual.

    24. Confidential Information

    Each party may receive non-public information belonging to the other party that a reasonable person would understand to be confidential (“Confidential Information”).

    Each party agrees to use reasonable safeguards to protect the other party’s Confidential Information and to use it only as necessary to perform or receive the Services or as otherwise authorized.

    Confidential Information does not include information that:

    • becomes public without breach of an obligation;
    • was lawfully known without confidentiality restriction;
    • is received lawfully from another source without confidentiality restriction; or
    • is independently developed without use of the other party’s Confidential Information.

    A party may disclose Confidential Information where required by law, subpoena, court order, or governmental demand, subject to legally permitted notice and protective measures.

    25. Sensitive Information

    Customers must use reasonable judgment before placing sensitive information into the Services.

    Do not provide information that a Service is not designed, configured, contracted, or legally authorized to process.

    Customers are responsible for determining whether their use involves regulated, confidential, financial, government-issued identification, criminal-justice, biometric, health-related, or other sensitive information and whether additional legal, contractual, technical, or security requirements apply.

    26. Intellectual Property

    BailBoss.ai, Nello Stream, Kapa Tec, LLC, and their licensors retain all right, title, and interest in their respective technology, software, interfaces, source code, object code, designs, templates, system configurations, prompts, documentation, methodologies, automation logic, workflows, graphics, branding, trade names, trademarks, know-how, and other intellectual property.

    Except for rights expressly granted in writing, no intellectual-property ownership is transferred to you.

    Subject to these Terms and payment of applicable fees, BailBoss.ai grants Customers a limited, revocable, non-exclusive, non-transferable right to access and use the Services during the applicable service period for authorized business purposes.

    You may not, except where prohibited by law:

    • reverse engineer;
    • decompile;
    • copy;
    • scrape;
    • reproduce;
    • resell;
    • sublicense;
    • circumvent;
    • extract proprietary components;
    • interfere with security controls; or
    • use proprietary portions of the Services to build or train a competing product or service

    without prior written authorization.

    Ownership of custom deliverables may be addressed separately in an applicable Order.

    27. Feedback

    If you voluntarily provide suggestions, ideas, recommendations, feature requests, or feedback regarding the Services, you grant Kapa Tec, LLC a perpetual, worldwide, irrevocable, royalty-free right to use that feedback without restriction or compensation.

    BailBoss.ai will not publicly identify you as the source of feedback without permission unless legally permitted or required.

    28. Acceptable Use

    You may not use the Services to:

    • violate law;
    • violate professional licensing requirements;
    • violate court orders;
    • violate carrier rules;
    • infringe intellectual-property rights;
    • violate privacy rights;
    • commit fraud;
    • engage in phishing;
    • impersonate another person unlawfully;
    • harass or threaten;
    • engage in unlawful discrimination;
    • distribute malicious software;
    • conduct unauthorized surveillance;
    • send unlawful spam;
    • transmit deceptive communications;
    • attempt unauthorized system access;
    • interfere with Service availability;
    • probe or circumvent security measures; or
    • otherwise engage in unlawful or abusive conduct.

    29. Beta, Experimental and Preview Features

    BailBoss.ai may make beta, preview, experimental, or early-access features available.

    Such features may be incomplete, change materially, contain errors, or be discontinued.

    Beta or experimental features are provided “AS IS” and should not be relied upon for critical legal, regulatory, financial, underwriting, or professional decisions unless specifically approved in writing for that use.

    30. Service Availability and Changes

    BailBoss.ai may add, modify, update, limit, replace, or discontinue features, models, integrations, interfaces, vendors, communications methods, or technical components.

    BailBoss.ai does not guarantee uninterrupted, error-free, or continuous availability.

    Service availability may be affected by maintenance, third-party outages, carrier failures, internet disruptions, cyber events, vendor changes, software errors, force majeure events, or other circumstances.

    31. Suspension and Termination

    BailBoss.ai may suspend, restrict, or terminate Services where reasonably necessary to protect the Company Parties, Customers, third parties, telecommunications networks, vendors, data, systems, or Service integrity.

    Grounds may include:

    • nonpayment;
    • fraud;
    • abuse;
    • security threats;
    • unlawful activity;
    • excessive complaints;
    • carrier enforcement;
    • messaging violations;
    • third-party platform enforcement;
    • regulatory risk;
    • misuse; or
    • material breach of these Terms or an Order.

    Termination does not eliminate amounts already owed.

    Customers should export information they are entitled to retain before termination where export functionality is available.

    Data may thereafter be retained or deleted according to applicable law, contractual obligations, technical requirements, and BailBoss.ai’s then-current retention practices.

    32. No Professional Advice

    Information or functionality provided through BailBoss.ai is for business, technology, operational, and informational purposes.

    Nothing provided by BailBoss.ai constitutes legal, tax, accounting, insurance, regulatory, underwriting, financial, or other professional advice.

    Customers should obtain advice from appropriately qualified professionals concerning their particular obligations.

    Use of BailBoss.ai does not create an attorney-client, fiduciary, surety, insurance, partnership, agency, employment, or professional-adviser relationship.

    33. Disclaimer of Warranties

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

    THE COMPANY PARTIES DISCLAIM ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, COMPLETENESS, OR RESULTS.

    BAILBOSS.AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR APPROPRIATE FOR EVERY CUSTOMER, JURISDICTION, BAIL PROCESS, BUSINESS MODEL, SURETY RELATIONSHIP, OR REGULATORY REQUIREMENT.

    Nothing in these Terms excludes any warranty that cannot lawfully be excluded.

    34. Limitation of Liability

    TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY PARTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES OR FOR LOST PROFITS, LOST REVENUE, LOST BOND OPPORTUNITIES, LOST LEADS, LOST BUSINESS, LOST DATA, BUSINESS INTERRUPTION, REPUTATIONAL HARM, PAYMENT LOSSES, FORFEITURES, REGULATORY PENALTIES, THIRD-PARTY PLATFORM ACTIONS, CARRIER FILTERING, OR COSTS OF SUBSTITUTE SERVICES ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.

    TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE COMPANY PARTIES ARISING OUT OF OR RELATING TO THE SERVICES, THESE TERMS, OR AN APPLICABLE ORDER WILL NOT EXCEED THE GREATER OF:

    (A) THE AMOUNT ACTUALLY PAID BY CUSTOMER TO KAPA TEC, LLC FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR

    (B) ONE HUNDRED U.S. DOLLARS ($100) IF CUSTOMER HAS NOT PAID FOR THE APPLICABLE SERVICES.

    These limitations apply regardless of legal theory and even if a remedy fails of its essential purpose.

    Nothing in these Terms limits liability to the extent such liability cannot legally be excluded or limited.

    Customer payment obligations and Customer indemnification obligations are not limited by this Section.

    35. Indemnification

    To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the Company Parties from and against third-party claims, governmental investigations, actions, demands, penalties, losses, liabilities, judgments, settlements, damages, costs, and reasonable attorneys’ fees arising out of or relating to:

    • your use or misuse of the Services;
    • your Customer Content;
    • your bail-bond business or professional services;
    • your users, employees, contractors, bail agents, managers, or representatives;
    • your communications;
    • your calls, texts, emails, AI communications, recordings, or transcriptions;
    • your marketing or advertising;
    • your payment or collection practices;
    • your failure to obtain legally required consent;
    • your violation of privacy, telemarketing, call-recording, messaging, advertising, consumer-protection, licensing, bail, insurance, surety, or other applicable laws;
    • your infringement of third-party rights; or
    • your breach of these Terms or an applicable Order.

    BailBoss.ai may assume control of the defense of a matter subject to indemnification, and you agree to reasonably cooperate.

    You may not settle a claim in a manner that imposes liability, admission, obligation, or restriction upon a Company Party without prior written approval.

    36. Informal Dispute Resolution

    Before commencing arbitration or litigation, the parties agree to attempt in good faith to resolve a dispute informally for at least 30 days after written notice describing the dispute and requested resolution.

    This requirement does not prevent either party from seeking temporary, emergency, or injunctive relief where reasonably necessary to protect intellectual property, confidential information, systems, accounts, security, or against unauthorized access or misuse.

    37. Binding Arbitration

    PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

    Except for claims eligible to be brought in small claims court and claims seeking temporary or injunctive relief concerning intellectual property, confidential information, unauthorized access, security, or misuse of the Services, disputes arising out of or relating to these Terms, an Order, the Services, or the relationship between you and Kapa Tec, LLC will be resolved by binding individual arbitration.

    The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

    Arbitration will be administered by the American Arbitration Association (“AAA”) under the rules applicable to the dispute, including its Commercial Arbitration Rules where applicable.

    Unless the parties agree otherwise, arbitration may occur remotely or in North Carolina.

    The arbitrator may award remedies available to the individual parties under applicable law but may not consolidate claims or conduct a class, collective, mass, or representative proceeding except where applicable law requires otherwise.

    38. Class, Collective and Jury Trial Waiver

    TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND KAPA TEC, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, REPRESENTATIVE, OR PARTICIPANT IN ANY CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION.

    TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES THE RIGHT TO A TRIAL BY JURY.

    If a court determines that a particular claim cannot lawfully be arbitrated, that claim may proceed before a court of competent jurisdiction, while the remainder of the arbitration agreement remains effective to the fullest extent permitted by law.

    39. Arbitration Opt-Out

    You may opt out of the arbitration agreement in Section 37 by submitting written notice within 30 days after you first become subject to these Terms.

    Your notice must clearly state:

    ARBITRATION OPT-OUT

    and include:

    • your name;
    • business or agency name;
    • contact information; and
    • account email, if applicable.

    The notice may be submitted through:

    https://bailboss.ai/contact

    or through another legal-notice method identified in an applicable Order.

    An arbitration opt-out applies only to the arbitration provisions and does not cancel or modify any other portion of these Terms.

    40. Governing Law and Forum

    Except where federal law controls and subject to the arbitration provisions above, these Terms, applicable Orders, and disputes arising from or relating to them are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.

    The parties agree that these Terms and applicable Orders are entered into primarily for business and commercial purposes.

    For disputes not subject to arbitration, the parties consent to personal jurisdiction and venue in the appropriate state or federal courts located in North Carolina, except where applicable law requires otherwise.

    41. Force Majeure

    The Company Parties are not liable for delay or failure caused by events beyond reasonable control, including natural disasters, severe weather, fire, epidemic, pandemic, war, terrorism, civil disturbance, labor disputes, governmental action, court action, telecommunications interruption, power failure, internet outage, cyberattack, carrier outage, cloud-provider failure, vendor failure, or interruption of third-party services.

    42. Assignment

    You may not assign or transfer these Terms or your rights to the Services without prior written consent from BailBoss.ai.

    Kapa Tec, LLC may assign or transfer these Terms in connection with a merger, acquisition, financing, restructuring, affiliate reorganization, sale of assets, change of control, or other business transaction.

    43. Independent Parties; No Partnership

    Nothing in these Terms creates a partnership, joint venture, franchise, fiduciary, employment, insurance, surety, or agency relationship between Customer and BailBoss.ai.

    Neither party has authority to bind the other except where expressly agreed in writing.

    References to third parties as “partners” or “business partners” are descriptive only and do not create a legal partnership.

    44. No Third-Party Beneficiaries

    Except for the Company Parties expressly protected by provisions of these Terms, these Terms do not create enforceable rights for any person who is not a party to the applicable agreement.

    45. Severability and Reformation

    If a provision of these Terms is held unlawful or unenforceable, it will be enforced to the maximum extent permitted and, where permitted, modified only to the minimum extent necessary to make it enforceable.

    The remaining provisions will remain in effect.

    46. Waiver

    Failure to enforce any provision of these Terms is not a waiver of that provision, another provision, or any future right.

    47. Entire Agreement and Order of Precedence

    These Terms, the Privacy Policy, applicable Orders, and documents expressly incorporated into them constitute the agreement concerning their subject matter.

    They supersede prior or contemporaneous statements concerning that subject matter.

    In the event of an express conflict, the following order of precedence applies unless an Order states otherwise:

    1. first, an executed Order or specifically negotiated written agreement;
    2. second, any applicable data-processing or service-specific addendum;
    3. third, these Terms; and
    4. fourth, general website or informational materials.

    48. Electronic Communications, Records and Acceptance

    You agree that transactions and communications relating to the Services may be conducted electronically to the extent permitted by law.

    Electronic records, electronic signatures, checkbox acceptance, digital acceptance, account registration, payment, or other electronic actions may constitute your agreement and signature where legally permitted.

    You are responsible for maintaining copies of agreements and records important to your business.

    49. Changes to These Terms

    BailBoss.ai may update these Terms from time to time.

    The current version will display the applicable Last Updated date.

    Where applicable law or an existing agreement requires additional notice or affirmative acceptance of a material change, BailBoss.ai will provide it.

    Continued use of Services after updated Terms become applicable constitutes acceptance to the extent permitted by law.

    Changes will not retroactively eliminate rights where applicable law prohibits doing so.

    50. Privacy

    BailBoss.ai’s collection, use, disclosure, retention, and handling of personal information is described in the BailBoss.ai Privacy Policy.

    The Privacy Policy will be available at:

    /privacy-policy

    51. Survival

    Provisions that by their nature should continue after expiration or termination will survive, including provisions concerning fees owed, intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and other accrued rights and obligations.
